B2B Terms & Conditions of Supply
These General Terms and Conditions govern all commercial quotations, sample deliveries, wholesale supplies, and White Label manufacturing agreements between SOCIETÀ AGRICOLA BLOOMEKO S.S. and professional business clients.
1. Scope of Application & Professional B2B Status
SOCIETÀ AGRICOLA BLOOMEKO S.S. sells exclusively to professional buyers, corporations, licensed extractors, laboratories, pharmaceutical entities, and cosmetic brands holding a valid VAT number or commercial registration. Consumer retail transactions (B2C) are explicitly excluded.
2. Regulatory Compliance & Intended Product Use
All commercialized plant biomass and flowers originate from certified hemp varieties listed in the European Common Catalogue of Agricultural Plant Species (EC Reg. No. 1107/2009 and Italian Law 242/2016). Total THC concentrations are maintained strictly below legal thresholds (<0.2%).
Intended strictly as raw material for industrial extraction, technical processing, or R&D laboratory formulations.
Supplied with complete MSDS and CoA. White Label cosmetic products comply with EC Cosmetic Regulation 1223/2009 & CPNP portal.
3. Quotations, Minimum Order Quantities (MOQ) & Payment
- Validity of Quotes: Written quotations remain valid for 15 calendar days from issuance due to market cannabinoid price fluctuations.
- Minimum Order Quantities (MOQ): Biomass MOQ starting at 100 kg; Selected CBD/CBG Flowers MOQ starting at 5 kg; White Label Cosmetics MOQ flex batch.
- Payment Terms: Bank transfer against pro-forma invoice prior to shipping (SEPA / SWIFT). Irrevocable Letter of Credit (LC) accepted for container-level bulk supply.
4. Product Sampling & Certificate of Analysis (CoA)
Sample kits are made available for analytical and lab validation. Every sample and production batch is delivered together with a batch-specific HPLC-UV Certificate of Analysis (CoA) issued by ISO 17025 accredited laboratories. The cost of sampling kits is fully credited against the client's first production order.
5. Logistics, Shipping & Incoterms
Unless otherwise agreed in writing, goods are shipped EXW (Ex Works Casazza, BG, Italy) or DAP (Delivered at Place) via specialized logistics couriers. Goods are shipped in neutral, tamper-evident sealed packaging accompanied by complete transport documentation, invoice, and legal batch CoA.
6. Quality Inspection, Claims & Applicable Jurisdiction
The client must inspect the delivered goods within 5 business days from arrival. Any non-conformity claims regarding quantity, packaging integrity, or chemical parameters must be notified in writing within 5 days, supported by third-party ISO accredited HPLC laboratory counter-analysis. These Terms are governed by Italian Law. Any dispute shall be submitted to the exclusive jurisdiction of the Court of Bergamo, Italy.
